  • contar con base de legitimación válida para el monitoreo de ubicación de sus trabajadores e informarles de forma transparente;
  • obtener los consentimientos y cumplir los avisos, notificaciones o requisitos laborales, sindicales o de comité de empresa que exija la legislación aplicable;

Terms & Conditions of Service

Last updated: June 13, 2026

Effective date: June 13, 2026

These Terms & Conditions (the "Terms") govern the subscription to and use of OptaCheck, the Field Force Management platform offered by Cirus, S.A. ("Cirus", "OptaCheck", "we", "us" or "our"). The Service is provided through the web application at https://optacheck.com, our mobile applications, our API, and our MCP server (together, the "Service").

OptaCheck is private, paid-subscription business (B2B) software; it is not open-source. By subscribing to, accessing or using the Service by any means, you and the Organization you represent agree to these Terms. If you do not agree, do not subscribe to or use the Service.

Quick summary. OptaCheck is a paid B2B subscription service. These Terms are the master agreement governing the commercial relationship: the subscription, fees, billing, acceptable use and termination. Use of the software (web app, mobile, API and MCP) is also governed by the EULA, and processing of personal data by the Privacy Policy. Features, prices and billing cycle are set out in the applicable Order Form or subscription plan. The Organization owns its data; we act as a processor to provide the Service.

Table of contents

1. Acceptance, parties and contract documents

OptaCheck is a multi-tenant business (B2B) service. Typically, a company (the "Organization") subscribes and enables access for its field workers, supervisors and administrators (the "Users"). These Terms apply to both the Organization and each User who accesses the Service.

  • If you accept these Terms on behalf of an Organization, you represent and warrant that you have authority to bind it.
  • Acceptance occurs when you subscribe, check the applicable box, register, sign in, or otherwise use the Service (electronic / clickwrap acceptance).

These Terms form a single agreement together with the following documents:

  • the applicable order form, quote or subscription plan (the "Order Form"), which sets out the fees, plan and other commercial terms;
  • the End-User License Agreement (EULA), which governs the license and use of the software; and
  • the Privacy Policy, which governs the processing of personal data.

In case of conflict between these documents, the Order Form prevails for commercial terms, and these Terms for everything else, unless a document expressly states otherwise. See also section 21.

2. Definitions

  • Service: the OptaCheck platform as a whole, including the web app, mobile apps, API, MCP server, documentation and associated services.
  • Organization: the customer company that subscribes to OptaCheck.
  • Workspace (shown as «Escritorio» in the Spanish app): a unit inside the Organization where Users, tasks, visits and field clients are managed.
  • User: a person who accesses the Service, typically a field worker, supervisor or administrator.
  • End client: a person or establishment that the Organization visits or serves, and whose data the Organization records in OptaCheck.
  • Subscription: the paid plan that enables use of the Service.
  • Order Form: the plan, quote or order detailing the features, limits, prices and billing cycle of the Subscription.
  • Customer Data: the data that the Organization and its Users enter or generate in the Service.
  • API: the programming interfaces that enable programmatic access to the Service.
  • MCP Server: the Model Context Protocol server that exposes Workspace data for querying and analysis by compatible clients (e.g. AI assistants).

Terms relating to personal data are used as defined in the Privacy Policy.

3. Description of the Service

OptaCheck helps companies coordinate field teams: assign tasks, log client visits (check-ins), complete custom forms, and see the location of staff during working hours via GPS and geofences. The Service includes productivity reports and offline data synchronization.

The Service is provided as software-as-a-service (SaaS). We may enhance, modify or expand the Service's functionality over time, in accordance with section 18.

4. Registration and accounts

To use the Service you must create an account and provide true, accurate and current information. You are responsible for keeping your credentials confidential and for all activity under your account.

  • For security purposes, the Service may bind your session to a single active device at a time.
  • You must notify us promptly of any unauthorized use of your account.
  • The Organization is responsible for managing its Users' accounts, roles and permissions, and for their activity in the Service.

5. Subscription, fees, billing and taxes

Access to the Service requires an active paid Subscription. Features, limits, prices, currency and billing cycle are set out in the applicable Order Form.

  • Fees: the Organization agrees to pay the fees applicable to its plan within the agreed terms.
  • Billing in advance: unless the Order Form states otherwise, Subscriptions are billed in advance for each period (e.g. monthly).
  • Taxes: fees are exclusive of taxes. The Organization is responsible for applicable indirect taxes (e.g. VAT) and any legally required withholding, except for Cirus's income taxes.
  • Non-payment: failure to pay fees when due may result in suspension or termination of access, in accordance with section 14, without prejudice to accrued fees.
  • Price changes: we may change fees for future renewal periods, giving reasonable prior notice before renewal.

6. Renewal, cancellation and refunds

  • Automatic renewal: unless the Order Form states otherwise, the Subscription renews automatically for periods equal to the initial period, at the then-current fee.
  • Cancellation: either party may choose not to renew by giving notice before the end of the current period, in accordance with the Order Form. Cancellation takes effect at the end of the paid period.
  • Refunds: unless applicable law or the Order Form provides otherwise, fees paid are non-refundable and are not prorated for the unused portion of a period.

7. Acceptable use and Customer responsibilities

You agree not to do, and not to allow any third party to do, any of the following:

  • Use the Service for unlawful purposes, or to process location or personal data in a manner contrary to applicable law.
  • Copy, modify, resell, rent, lease, sublicense or lend the Service to third parties beyond what is permitted.
  • Reverse engineer the software, circumvent security controls, or extract data in bulk or in an automated way (scraping) outside the authorized means (API/MCP).
  • Compromise the security or integrity of the Service, introduce malicious software or overload the infrastructure.

The Organization is responsible for: (i) complying with applicable labor and data protection law; (ii) the accuracy and lawfulness of the Customer Data it uploads; and (iii) the activity of its Users. Detailed software use restrictions are set out in the EULA.

8. Customer Data and privacy

As between the parties, the Organization owns the Customer Data. OptaCheck processes that data to provide the Service, acting as a processor on the Organization's instructions and in accordance with the Privacy Policy, which forms an integral part of these Terms.

We will keep Customer Data confidential and apply reasonable technical and organizational measures to protect it (encryption in transit, access controls and authentication). The Organization is responsible for having a legal basis to process the data of its Users and End clients in the Service.

9. Location monitoring and end-client data

OptaCheck is a work tool. Field Users' location is collected on behalf of and under the responsibility of the Organization (employer), for the purpose of coordinating field operations, verifying visits and recording the working day — not for monitoring private life.

The Organization, as controller of this data, undertakes to:

  • have a valid legal basis for the location monitoring of its workers and inform them transparently;
  • obtain the consents and meet the notices or labor, union or works-council requirements imposed by applicable law;
  • have a legal basis to process its End-client data and, where it configures forms that capture sensitive data (e.g. health data), meet any additional legal requirements.

These matters are developed in sections 3.6, 3.10 and 7 of the Privacy Policy.

10. Software license and intellectual property

Subject to these Terms and payment of the Subscription, Cirus grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to access and use the Service for the duration of an active Subscription, solely for the Organization's internal field operations. The full license terms are set out in the EULA.

The Service and all its content — software, design, interface, text, graphics, logos, trademarks and other elements — are the exclusive property of Cirus or its licensors, and are protected by intellectual property laws. We reserve all rights not expressly granted.

11. Third-party services and integrations

The Service relies on third-party providers of hosting, infrastructure, synchronization, monitoring and communications (sub-processors), as described in the Privacy Policy. If the Organization uses third-party integrations or clients (e.g. MCP-compatible AI assistants), that use is governed by those third parties' terms and is the Organization's responsibility. We are not responsible for the practices or content of third-party sites or services we do not operate.

12. Confidentiality

Each party may access the other's confidential information in connection with the Service. The receiving party agrees to (i) use the confidential information solely to perform these Terms and (ii) protect it with a reasonable degree of care. Information is not confidential if it is or becomes public without breach, was already lawfully known, or must be disclosed by legal requirement.

13. Availability, support and maintenance

We seek to keep the Service available using commercially reasonable efforts, but we do not warrant uninterrupted operation. The Service may experience interruptions due to scheduled maintenance, updates or causes beyond our reasonable control.

Support is provided through the channels and on the terms stated in the Order Form or our documentation. Unless the Order Form includes a specific service-level agreement (SLA), the Service is not subject to a guaranteed availability commitment.

14. Suspension and termination

These Terms remain in effect while the Organization maintains an active Subscription. We may suspend or terminate access, in whole or in part, in the event of a breach of these Terms or the EULA, non-payment, or where necessary for legal or security reasons.

  • Upon termination, the right to use the Service ceases and the license in section 10 is revoked.
  • Data export and deletion: after termination, the Organization will have a reasonable period to export its Customer Data; after that period, we may delete it in accordance with the applicable contract and the retention section of the Privacy Policy.
  • Provisions that by their nature should survive (intellectual property, confidentiality, limitation of liability, indemnification, governing law) will continue in effect after termination.

15. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or absolutely secure, without prejudice to warranties that cannot be excluded under applicable mandatory law.

16. Limitation of liability

To the maximum extent permitted by law, Cirus and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, business opportunities or goodwill, arising from the use of or inability to use the Service.

In any event, Cirus's total aggregate liability arising out of these Terms will be limited to the amount of Subscription fees actually paid by the Organization to Cirus during the twelve (12) months preceding the event giving rise to the claim.

17. Indemnification

The Organization agrees to hold Cirus harmless from any claim, loss or expense (including reasonable attorneys' fees) arising from: (i) use of the Service in breach of these Terms or the EULA; (ii) unlawful processing of personal data, User data or End-client data; or (iii) infringement of third-party rights.

18. Changes to the Service and Terms

We may update the Service and these Terms to address legal, technical or commercial developments. We will post the current version on this page and change the "Last updated" date. Where changes are material, we will notify you by reasonable means (e.g. email or a notice in the Service) before they take effect. Continued use of the Service after the effective date constitutes acceptance.

19. Force majeure

Neither party will be liable for any failure or delay due to causes beyond its reasonable control, including natural disasters, power or telecommunications outages, failures of infrastructure providers, acts of authority, labor disputes or cyberattacks.

20. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Guatemala, without giving effect to its conflict-of-laws rules. The parties submit to the non-exclusive jurisdiction of the competent courts of Guatemala City, Republic of Guatemala, for the resolution of any dispute related to these Terms.

OptaCheck is used in various Latin American countries. Where a User accesses the Service from a different jurisdiction, the mandatory personal-data-protection and labor-law protections of that jurisdiction that cannot be excluded by contract continue to apply for the User's benefit, regardless of the choice of law above.

21. General provisions

  • Entire agreement and precedence: these Terms, together with the Order Form, the EULA and the Privacy Policy, constitute the entire agreement between the parties regarding the Service. In case of conflict, the Order Form prevails for commercial terms; otherwise, these Terms, unless expressly stated otherwise.
  • Assignment: the Organization may not assign these Terms without our prior written consent. Cirus may assign them as part of a corporate transaction or reorganization.
  • Severability: if any clause is held invalid, the remainder remains in full force.
  • No waiver: failure to exercise a right is not a waiver of that or any other right.
  • Notices: notices to Cirus are sent to admin@optagonal.com; notices to the Organization are sent to the contact details registered in its account.
